1. INTRODUCTION
   
   This site is a secure site that is intended solely for authorized users to obtain access to the collection of on-line materials, data and programs offered by ST Aerospace at this site from time to time (collectively, the "ST Aerospace's E-Services"). Unless expressly stated otherwise, any new features offered by ST Aerospace to enhance or augment existing ST Aerospace's E-Services shall be subject to these Terms of Use.
   
   The ST Aerospace's E-Services are intended solely to complement and enhance the services offered by ST Aerospace to its customers and prospective customers and do not in any way affect the underlying contract made between ST Aerospace and its customers.
   
   The ST Aerospace’s E-Services are made available on the condition of an acceptance without any modifications or alterations of the terms, conditions and notices contained herein ("Terms of Use") and the User Agreement and such other notices and directions as may be issued by ST Aerospace from time to time.  By accessing or using ST Aerospace’s E-Services, the Applicant ("Applicant" or "Registrant" in the event that the application is successful) agrees to be bound by these Terms of Use.
   
   
2. APPLICATION
   
   All applications for a ST Aerospace's E-Services account shall be made in the form and manner as may be prescribed by ST Aerospace from time to time.
   
   Each Applicant shall be entitled to name one (1) individual ("Agent") who will be authorized to access the Registrant's ST Aerospace's E-services account on its behalf.
   
   The Applicant hereby:-
   
   1. ratifies all acts of the Agent and agrees to be bound by these Terms of Use; and
      
   2. represents and warrants to ST Aerospace that all information submitted in the registration process is true, complete and accurate.
      
   If an Agent has been authorized to submit this application for and on behalf of the Applicant, the Agent hereby warrants to ST Aerospace that he/she:-

1. has been constituted by the Applicant as its agent to complete and submit the application; 
   
2. agrees for and on behalf of the Applicant to abide and be bound by these Terms of Use; and
   
3. shall procure that ST Aerospace be furnished with documentary proof that he/she has the Applicant's authority to submit the application and to access the account thereafter within two (2) days of submission of the on-line application. 

Notwithstanding that the Applicant has complied with all the registration requirements and the provisions hereof, ST Aerospace reserves the right to decline any application and is not obliged to provide any reason or ground for its refusal to accept the application.

3. REGISTRATION OBLIGATIONS
   
   If an application is successful, ST Aerospace will send an email confirming the account opening and the effective date of access to the account, via the email account of the Agent as set out in the application form. The Registrant shall thereafter be solely responsible for the confidentiality of and all activities occurring under its account. 
   
   The Registrant hereby agrees and acknowledges that all instructions issued under its account shall be deemed conclusively to have originated from it and ST Aerospace shall have no further obligation to seek any confirmation or inquiries thereof. 
   
   The Registrant further agrees that:-
   1. it shall notify ST Aerospace immediately of any changes, amendments or corrections in relation to the details of its Agent as soon as such changes occur, or any unauthorized use of its account or any breach of security thereof; and
      
   2. the agreement evidenced hereunder is made with ST Aerospace in its own capacity and as agent for its employees, associates, affiliates, subsidiaries and related corporations.
      
      
4. CONFIDENTIALITY
   
   The Registrant agrees that all information accessible through the ST Aerospace's E-Services is confidential information that the Registrant shall maintain and shall procure that its Agent shall maintain in confidence. 
   
   The Registrant shall not disclose to any unauthorized person or use such confidential information other than for the purposes of the matter to which it relates. The information contained in such materials shall not be regarded as confidential information to the extent that such information is in the public domain or you are already in possession of it or receives it from a third party entitled to disclose it.
   
   
5. DISCLAIMER
   
   Although all attempts are made to provide accurate information at this site, ST Aerospace and its employees, affiliates, subsidiaries, associates and related corporations assumes no responsibility for the accuracy of such information. The ST Aerospace’s E-Services are made available on an “as is” and “as available” basis without any warranty of any kind either express or implied, regarding the use, validity, accuracy or reliability of or otherwise respecting the ST Aerospace’s E-Services or that the ST Aerospace’s E-Services will be uninterrupted, or error-free or that defects will be corrected or that this site or the server that makes the ST Aerospace’s E-Services available are free of virus or other harmful components. To the extent permitted by law, ST Aerospace’s and it’s employees, subsidiaries, affiliates, associates and related corporations shall not be liable for any damage of any kind arising out of or relating to the use or inability to use the ST Aerospace’s E-Services or at this web site including but not limited to special, incidental or consequential damage.ST Aerospace and its employees, subsidiaries, affiliates, associates and related corporation also assume no responsibility and shall not be liable for any damage to or virus that may infect the registrant’s computer equipment or other property as a result of access to, use of or browsing at this site or the downloading of any materials, data, text, images or video from this site.
   
   
6. TERMINATION
   
   If any information provided in the application is subsequently discovered to be untrue, inaccurate or incomplete, or ST Aerospace has any reasonable grounds to suspect that such information provided is untrue, inaccurate or incomplete, ST Aerospace has the right to suspend or terminate the account and refuse any and all current or future use of the ST Aerospace's E-Services (or any part thereof).
   
   ST Aerospace may terminate access to any or all of the ST Aerospace's E-Services at any time, with or without cause, with or without notice effective immediately for any reason whatsoever.
   
   
7. GENERAL
   
   ST Aerospace may make improvements and/or changes in the services and facilities offered through this site at any time without any notice.
   
   If ST Aerospace's ability to deliver the ST Aerospace's E-Services is limited, delayed or prevented, in whole or in part, by any reason or any cause or event beyond the reasonable control of ST Aerospace (including but not limited to any mechanical, electronic or communication failure), ST Aerospace shall be excused, discharged or released without penalty or liability from its obligations hereunder to the extent and for the period that such performance is so limited, delayed or prevented. 
   
   If any term hereof is determined to be invalid or unenforceable pursuant to applicable law including but not limited to the warranty disclaimer and limitation of liability set forth above, the remaining terms shall continue in effect. 
   
   Unless otherwise specified herein, this agreement constitutes the entire agreement between ST Aerospace and the Registrant in relation to the use of the ST Aerospace's E-Services.
   
   The section titles hereunder are solely used for the convenience of the parties and have no legal or contractual significance.
   
   By using ST Aerospace's E-Services or any part thereof, the Registrant agrees that the laws of Singapore shall govern such access and shall submit to the exclusive jurisdiction of the courts of Singapore.
